CONDITIONS GÉNÉRALES DE VENTES

 

  • GÉNÉRALITÉS

Nos ventes sont soumises aux présentes conditions générales qui prévalent sur toute condition d'achat, sauf dérogation formelle et expresse de notre part.

Les conditions ci-dessous sont applicables également à n'importe quel contrat passé avec nous correspondants.

 

  • FORMATION DU CONTRAT

Lorsqu'un devis est établi par nous, il constitue les conditions particulières venant modifier ou compléter les présentes conditions générales.

En cas de commande reçue de l'acheteur, celle-ci ne sera considérée comme acceptée définitivement par nous qu'après acceptation écrite de notre part. C'est cette acceptation qui constituera dans ce cas les conditions particulières.

 

  • LIVRAISON - TRANSPORT - FORCE MAJEURE

Sauf stipulation contraire, nos marchandises sont livrées et reconnues en nos usines et dans ce cas l'ordre d'expédition vaut agréation. Si cette livraison est retardée pour une raison indépendante de notre volonté, elle sera réputée avoir été effectuée à la date convenue.

Il incombe à l'acheteur, sauf stipulation contraire, d'assurer les frais et risques du transport des biens vendus, postérieurement à la livraison.

Les délais de livraison indiqués dans la confirmation de vente sont donnés à titre indicatif. Ils n'engagent pas la responsabilité du vendeur et ne peuvent donner lieu à une indemnité.

Les grèves même partielles, les lock-out, les accidents d'exploitation seront considérés à notre profit, comme cas de force majeure et suspendront les délais de livraison acceptés par nous.

 

  • RÉSERVE DE PROPRIÉTÉ

Le vendeur conserve la propriété des bien vendus jusqu'au paiement effectif de l'intégralité du prix en principal et accessoire.

Le défaut de paiement de l'une quelconque des échéances peut entraîner la revendication des biens. Ces dispositions ne font pas obstacle au transfert à l'acheteur, dès la livraison, des risques de perte et détérioration des biens vendus ainsi que des dommages qu'ils pourraient occasionner.

 

  • PRIX - PAIEMENT - PÉNALITÉS

Les prix sont stipulés hors taxe ; leur nature (ferme ou révisable) et leur montant sont précisés dans les conditions particulières.

Toutes nos factures sont payables comptant sauf dispositions conventionnelles ou légales différentes et dans ce cas, aucun escompte n'est applicable pour tout paiement anticipé.

En cas de non-paiement d'une facture à son échéance, et sous réserve de tout droit dont pourrait se prévaloir le vendeur, celle-ci supportera, sans qu'un rappel soit nécessaire, un taux d'intérêt de retard égal au taux d'intérêt appliqué par la Banque Centrale Européenne à son opération de refinancement la plus récente, majoré de 7 points de pourcentage.

Selon l'article D441-5 du code du commerce : Indemnité forfaitaire de 40 € pour frais de recouvrement en cas de retard de paiement.

 

  • CLAUSE RÉSOLUTOIRE DE PLEIN DROIT

En cas d'inexécution de sans obligations par notre contractant, le présent contrat sera résolu de plein droit à notre profit sans préjudice des dommages-intérêts qui pourraient être réclamés à la partie défaillante.

La résolution prendra effet 14 jours après l'envoi d'un émise en demeure restée infructueuse.

 

  • REGLEMENTS DES LITIGES

Tout litige relatif à la présente, même en cas de recours en garantie ou de pluralité de défendeurs, serait, à défaut d'accord amiable, de la compétence exclusive du tribunal de commerce dans le ressort du siège social de notre société.

Le droit interne français est applicable.

 

GENERAL CONDITIONS FOR SALES

 

  • GENERAL

Our sales are subject to the present condition of sale which will prevail over any conditions of purchase, unless formally and expressly stated by ourselves.

The conditions as detailed below shall also apply to any and all contracts entered into with our correspondents.

 

  • CONTRACT CONSTITUTION

Once we have established an estimate, the latter then becomes the special conditions.

In case of an order placed by a purchaser, this order shall only be deemed accepted if finally acknowledged by ourselves in writing. This acknowledgement will then continue the special conditions of contract.

 

  • DELIVERY - TRANSPORT - FORCE MAJEURE / ACTS OF GOD

Unless otherwise specified, our goods are delivered and inspected at our works, and in this case, the delivery order shall have value of acceptance. Any delivery which would be delayed for reasons beyond our control, shall be deemed to have been effected on the agreed date.

Unless otherwise specified, the purchaser shall have to bear the costs and risks of the transport of the goods sold to him, following their delivery.

The delivery dates quoted in the sales acknowledgement are non-binding on the vendor and shall not give rise to damages.

Strikes, whether general or partial, lock-outs and operational accidents shall be to our discharge, and considered as factors of force majeure, suspending the delivery deadlines as previously accepted by us.

 

  • RESERVE OF OWNERSHIP OF THE GOODS

The vendor shall reserve the ownership of the goods sold until these will have in effect been fully paid for in capital and collateral.

Failure to pay any of the installments on its due date may entail an action for recovery of property of the goods. These provisions do not affect the transfer to the purchaser, upon delivery, of the risks of loss and deterioration of the goods sold and of the damage they may possibly cause.

 

  • PRICES - PAYMENTS - PENALTIES

All prices are quoted exclusive of tax. Their nature (firm or adjustable) and their amount are stated in the special conditions of the contract.

 All our invoices are payable on presentation unless otherwise specified by contract or provided for by law and in this case no discounts shall be allowed for early payment.

Failure to pay any invoice on its due date shall entail the charging, without any prior reminder, of interest for late payment at the rate equal to the interest rate applied by the European Central Bank to its most recent refinancing operation, plus 7 percentage points, without prejudice of the rights which the vendor may claim.

According to article D441-5 of the French Commercial Code: in case of late payment, the purchaser will be required to pay an indemnity equivalent to 40 €.

 

  • IPSO JURE TERMINATION CLAUSE

Failure on the part of our contract partner to fulfill his obligations shall result in the ipso jure termination of the contract to our benefit, without prejudices of any damages which may be claimed against the defaulting party.

Termination shall be effective 14 days after the dispatch of a formal notice has remained without results.

 

  • DISPUTES AND LITIGATIONS

Failing amiable settlement, any disputes arising from or related to this sales contract shall be submitted, even in the case of guaranty claims or multiple defenders, to the exclusive competence of the district court under whose jurisdiction our company head office is placed.

All transactions with our company are guaranteed by the laws of France.
